Terms of Service

1. Services Provided

I provide web design, development, hosting, maintenance, and dashboard access services for small businesses, local brands, and nonprofits. Services include:

• Custom website design and development using Astro, Next.js, and related technologies
• Hosting and deployment via Vercel, Cloudflare Pages, and other platforms
• Ongoing maintenance, updates, and support
• Access to my proprietary multi-tenant content management dashboard

Project Timeline: Typical projects are delivered within 4 to 6 weeks, depending on scope and client responsiveness. Timelines are estimates, not guarantees.

2. Pricing & Payment

• Setup Fee: Due upfront before work begins (based on project scope)
• Monthly Maintenance: Billed monthly for hosting, updates, dashboard access, and support
• Payment Methods: Processed via Stripe or other third-party processors
• Auto-Renewal: Monthly services auto-renew unless you provide 30 days' notice of cancellation
• Failed Payments: If payment fails, you have a 7-day grace period. After that, services (including site access) may be suspended until payment is received.

3. Client Responsibilities

You agree to:

• Provide timely content, images, branding materials, and feedback necessary to complete the project
• Maintain an active payment method on file for recurring billing
• Ensure all content you provide is legally owned by you or properly licensed
• Comply with all applicable laws and third-party terms of service

You are responsible for domain registration and DNS management unless explicitly handled under a separate agreement.

4. Intellectual Property

What You Own

• All content, branding, logos, and copy you provide
• The design concept and visual presentation of your site

What I Own

• The underlying codebase, dashboard system, infrastructure, and proprietary tools
• Reusable components, templates, and systems used across projects

License Granted to You

As long as you maintain active monthly service, you are granted a non-exclusive, non-transferable license to use your website and access my dashboard. This license terminates if services are cancelled or payment lapses.

My Rights

• I may reuse, adapt, or restyle components and code across client projects
• I may showcase your website in my portfolio, case studies, and marketing materials unless you request otherwise in writing

If you wish to take full ownership of the codebase or remove your site from my portfolio, contact me to discuss a custom buyout or licensing agreement.

5. Refunds & Cancellations

• No Refunds: Setup fees are non-refundable once work has begun
• Cancellation Policy: You may cancel monthly services with 30 days' written notice before the next billing cycle
• Effect of Cancellation: Upon cancellation, your site will remain live for the remainder of the paid billing period, then go offline unless alternative hosting arrangements are made

6. Service Suspension & Termination

Non-Payment

• If payment fails, you have a 7-day grace period
• After 7 days, your site may be taken offline until payment resumes
• I will make reasonable efforts to contact you during this period

Data Retention

• Backups are retained for up to 1 year after service termination
• After 1 year, all data is securely deleted unless you request an export
• You may request a data export at any time by contacting me

Termination by Me

I reserve the right to terminate services immediately if you violate these Terms, use my services for illegal or harmful purposes, or fail to pay after repeated attempts to collect.

7. Third-Party Services

My services rely on third-party platforms, including Vercel, Cloudflare Pages, Neon, Stripe, Cloudinary, and Axiom. I am not responsible for outages, downtime, or performance issues caused by these providers, or for changes to their pricing, terms, or availability.

8. Warranties & Disclaimers

I will use reasonable efforts to deliver quality work, maintain uptime, and provide timely support. My services are provided "as is" and "as available." I disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or guarantees of uninterrupted or error-free service.

9. Limitation of Liability

To the maximum extent permitted by law, my total liability for any claim is limited to the total amount you have paid me in the 12 months preceding the claim. I am not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption.

10. Indemnification

You agree to indemnify and hold me harmless from any claims, damages, or expenses (including legal fees) arising from your use of my services, content you provide or publish, or your violation of these Terms or applicable laws.

11. Modifications to Terms

I may update these Terms from time to time. The "Last Updated" date at the top will reflect any changes. Continued use of my services after changes are posted constitutes acceptance of the updated Terms. I will make reasonable efforts to notify you of significant changes via email or dashboard notification.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Arizona. Any disputes will be resolved in the courts of Pinal County, Arizona.
